The Executive Board of Axel Springer AG has decided to start preparations for a conversion of the company into a European Company (Societas Europaea/SE).With the conversion into a European legal form Axel Springer AG intends to underline and facilitate the European and international market focus of the company. As a SE the Company shall still be governed by a two-tier management system consisting of an Executive Board and a Supervisory Board.
The conversion will not affect the rights of shareholders and employees. The company’s headquarters remains in Berlin.
The shareholder’s meeting on 24 April 2013 shall decide on the conversion based on the corresponding proposed resolution of the Executive Board and the Supervisory Board. It is intended to complete the conversion before the end of the year.
